    Under the management and supervision of the CEO


    Advise and support the Company's management/directors on all legal issues related to business development, potential liabilities, contracts and agreements, exposures and matters necessary to make informed decisions within the Company and ensure compliance with relevant laws and regulations.

    Provide legal consultation and support to the Company's Board of Directors and General Assembly meetings.

    Provide legal support to the Company's divisions in matters relating to negotiation, reviewing and drafting of contracts and agreements, legal inquiries and consultations, including: template contracts and agreements, joint-venture contracts, technical agreements and management contracts with third parties; to implement the company's vision in a manner that safeguards the company's interests, policies and risk tolerance levels, ensures compliance with relevant laws and regulations and enables proper decision making.

    Engage external legal advisors and consult with them on all issues as necessary and define strategic defenses and approve settlements of disputes, where warranted, in court cases filed against or on behalf of the Company.

    Act as the custodian of all agreements of the company.
    Provide the necessary documents for licensing, for the company in compliance with the local laws and regulations.

    Mitigate and address potential legal liabilities through communicating such to the concerned parties in order to establish a base of preventive action for future approaches.

    Monitor and update all legal matters within the legal division and throughout the Company's practices.

    Ensure coordination and assistance by legal division and upper management with preparation of board meeting agenda, minutes and resolutions to fulfill their obligations towards the board and stakeholders.

    Provide legal advice in investigating the facts of incidents, violations and interventions that are forwarded to the Legal Division to ensure proper implementation of company's rules and regulations and the relevant laws.

    Participate- when assigned- in any committee of the company.
    Undertake any other tasks as assigned by the General Counsel.

    Board Secretary Responsibilities- when applicable:


    Manage the general correspondence of the Board and ensure that internal and external communication is in line with the company's articles and memorandum of association and local laws.

    Respond to and execute shareholders' queries and requests, such as managing the process of selling or transferring their shares.

    Respond to legal inquiries during the BODs meetings and give the right advice to board members during those meetings to clarify the impact of any adopted resolution or decision and to ensure that those decisions are in line with the articles and memorandum of association.

    Circulate agenda items to be discussed during Board meetings and provide supporting documents.
    Ensure the minutes of board meetings are captured appropriately and accurately to ensure all relevant parties are informed of the adopted Board's resolutions and decisions

    Follow up on adopted resolutions and decisions with the relevant parties and provide them with feedback regarding all queries in that regard.

    Applicable laws in Jordan and related Jurisdictions.
    Legal Opinions & Reporting.
    Commercial, Companies', Real Estate, Financing, Construction and Hospitality Laws.
    Contract Management.

    QUALIFICATIONS, EXPERIENCE, & SKILLS


    Qualifications:
    Bachelor's degree in law.
    Masters preferred.


    Preferred Experience:
    Minimum 8-10 years related experience.
    10-12 years general experience
